Job Description

This position will be responsible for providing transactional legal support to the Company’s investment management business in the United States, including fund formation, joint venture, financing and acquisition/disposition transactions, and will be involved in establishing processes and procedures that mitigate risk and ensure compliance with legal and regulatory requirements applicable to such business. This position will also work with the Legal Global Practice Team in establishing and implementing best practices, processes, and policies within the legal and regulatory area to support the execution of the Company’s global investment management strategy. 

Key Responsibilities

1. Provide legal advice and guidance on transactional activities related to proposed investment management opportunities, including commingled investment funds, joint venture transactions and real estate acquisitions, dispositions and financings.
2. Prepare, review and/or negotiates contracts, agreements and other legal documentation required for investment and operations activities of the investment management business.
3. Stay abreast of emerging issues and market practices in the private equity real estate industry, provide updates and advisories to executive and senior leaders, and recommend, develop and implement policies, practices and other strategies to ensure compliance and mitigate or reduce risk.
4. Coordinate and collaborate with Global Practice Team leaders on initiatives to develop best practices and ensure consistency related to investor negotiations, operating policies, deal terms, agreements and other practices globally.
5. Coordinate and collaborate with Global Practice Team leaders on technology initiatives to enhance communication and efficiency among legal, compliance and other team members globally.
6. Coordinate external counsel and other external advisors and service providers as necessary to provide supportive and specialty legal services, and review and track costs and expenses against budgets.
7. Work constructively with other internal divisions necessary for transaction evaluation and consummation, including Tax, Finance, Compliance, Investor Relations and Portfolio Management teams.
8. Routine travel in and outside of immediate geographic location may be required to attend training programs, business meetings or other events, to conduct benefits enrollment and other payroll/benefits related training and communication, and perform other activities necessary for the accomplishment of some or all of the daily responsibilities of this position.
9. Completes various human resources, financial, administrative, and other reports and analysis, and performs other duties as assigned or as necessary.

Organizational Responsibilities

1. Set standards for and follow established policies and procedures by monitoring and ensuring compliance with regulatory requirements, organizational standards and operational processes related to area(s) of responsibility, and reporting violations or infractions to appropriate individual(s).
2. Identify and act on areas for improvement by recommending and cost-justifying programs and initiatives that drive change, improve efficiency and effectiveness, and stimulate productivity.
3. Keep abreast of current changes in technology, processes and standards within the industry and area(s) of responsibility by attending internal and external training programs, researching and/or subscribing to the internet or other professional publications and/or utilizing other appropriate method(s) to obtain business and professional information, and apply knowledge and practices to area(s) of responsibility.

Qualifications

1. J.D. degree from a top-tier, accredited American Bar Association law school and current license to practice law in one or more U.S. jurisdictions.
2. 5 or more years of experience in a top-tier law firm, including experience related to the real estate private equity and investment management area.
3. In-house legal or secondment experience preferred.
4. Excellent legal drafting skills and the ability to understand complex legal issues and recommend and implement strategies, decisions and solutions.
5. Superior judgment and ethical practices.
6. Demonstrated skills in interpersonal communication to establish and build internal and external relationships, manage vendors and service providers and effectively interact with executives, senior-level management groups, clients and other team members.
7. Excellent project management skills and evidenced ability to take initiative in area(s) of focus in order to develop and execute a project plan from conception through implementation and evaluation.
8. Demonstrated success in managing multiple priorities, across global geographies and time zones, in a time-sensitive and fast-paced environment.
9. Ability to read, write and communicate effectively to create and make presentations to team members, executive and senior managers and others, and to develop policies, procedures, memos and other documents used for communicating, training or implementing planned projects and initiatives.
10. Demonstrated proficiency in word processing, spreadsheet and database management programs, internet-based applications and various systems and applications in order to complete required reports and produce, organize and store necessary work documents, policies and other materials.
11. Experience in the real estate and multi-family housing industry, including a solid working knowledge of property operations and property management, preferably in a third-party management environment, and with a variety of product types preferred.
12. Ability to effectively manage outside counsel, provide clear direction, evaluate services and communicate feedback as needed to achieve optimal results.
